Digital Property Information
This Digital Property Information Contract (the "Contract") is entered into between JLR Workshop (the "Recipient") and Workshop Manuals (the "Provider") for the purpose of selling digital products related to workshop manuals for Jaguar and Land Rover vehicles at 25th July 2015.
1. Scope of Services
The Provider agrees to sell digital products, specifically workshop manuals, to the Recipient. These workshop manuals are designed to provide comprehensive tools and knowledge to efficiently diagnose and troubleshoot issues, increase efficiency, and enhance expertise in caring for Jaguar and Land Rover vehicles.
2. Delivery of Digital Products
The Provider shall deliver the digital products to the Recipient via electronic means. The Recipient acknowledges that the digital products will be provided in the form of downloadable files or access to an online platform.
3. Intellectual Property Rights
The Provider represents and warrants that it has the necessary rights and permissions to sell the digital products to the Recipient. The Recipient acknowledges that all intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, associated with the digital products belong to the Provider.
4. Usage Restrictions
The Recipient agrees to use the digital products solely for personal and non-commercial purposes. The Recipient shall not reproduce, distribute, modify, or create derivative works based on the digital products without the prior written consent of the Provider.
5. Confidentiality
Both parties agree to keep any confidential information exchanged during the course of this Contract confidential. Confidential information includes, but is not limited to, trade secrets, customer information, and proprietary business information.
6. Disclaimer of Warranty
The Provider makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of the digital products. The Recipient acknowledges that the digital products are provided on an "as is" basis and that the Provider shall not be liable for any errors or omissions.
7. Limitation of Liability
In no event shall the Provider be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the digital products. The total liability of the Provider, whether in contract, tort, or otherwise, shall not exceed the amount paid by the Recipient for the digital products.
8. Governing Law and Jurisdiction
This Contract shall be governed by and construed in accordance with the laws of the jurisdiction in which the Provider is located. Any disputes arising out of or in connection with this Contract shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
9. Entire Agreement
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
